Last updated: 1 January 2025

1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of the website allgenfoodswa.online and any professional business and consulting services provided by Allgen Foods Wa Pty Ltd (ABN 89 703 610 262) (“we”, “us”, “our”). By accessing this website, requesting a quote, or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use this website or our services.

2. Who we are

Allgen Foods Wa Pty Ltd is an Australian proprietary limited company providing professional business and consulting services, including advisory, compliance and operational support, to businesses across Australia. Our principal place of business is Melbourne VIC, and we may deliver services on site or remotely depending on the nature of the engagement.

3. Our services

The scope of any engagement will be set out in a written proposal, engagement letter or statement of work agreed between us before work commences. Information on this website, including service descriptions and indicative timeframes, is provided for general guidance only and does not form part of any contract unless expressly incorporated into a written agreement.

Nothing on this website constitutes financial, legal, or regulatory advice. Where your matter requires input from a licensed professional in another field, we will recommend that you obtain independent specialist advice.

4. Quotes, proposals and engagement

Quotes and proposals provided by us are valid for thirty (30) days from the date of issue unless otherwise stated in writing. A quote is an invitation to treat and does not constitute a binding offer until we confirm the engagement in writing. Work will only commence once the scope, fees and timeline have been agreed in writing and any required deposit has been received.

To request an obligation-free quote, please use our quote request form or contact us directly at ceo@allgenfoodswa.online.

5. Fees, invoicing and payment

6. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified by agreement. Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that services will be rendered with due care and skill and will be reasonably fit for purpose.

7. Limitation of liability

To the maximum extent permitted by law, and except where liability arises under a consumer guarantee that cannot lawfully be excluded, our total aggregate liability arising out of or in connection with any engagement is limited to the fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, special or consequential loss, including loss of profits, revenue, goodwill or business opportunity, however caused.

You are responsible for the accuracy and completeness of information you provide to us. We rely on that information when delivering services and are not liable for loss arising from incomplete, inaccurate or out-of-date information supplied by you or your representatives.

8. Intellectual property

All content on this website, including text, graphics, layout and logos, is owned by or licensed to Allgen Foods Wa Pty Ltd and is protected by Australian and international copyright law. You may view, download and print pages from this website for your own internal business use only. Any other reproduction, distribution or commercial use of website content requires our prior written consent.

Unless otherwise agreed in writing, deliverables produced specifically for you under an engagement become your property upon full payment, while we retain ownership of our pre-existing methodologies, templates, frameworks and know-how.

9. Confidentiality

We treat all non-public information supplied by clients as confidential and will not disclose it to third parties except where required to deliver the agreed services, with your consent, or as required by law. These confidentiality obligations survive the completion or termination of an engagement.

10. Privacy

We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. By using this website or engaging our services, you consent to the collection, use and disclosure of your information as described in that policy.

11. Third-party links

This website may contain links to third-party websites for convenience. We do not endorse, and accept no responsibility for, the content, accuracy or practices of any third-party website. Accessing third-party websites is at your own risk.

12. Suspension and termination

Either party may terminate an engagement in accordance with the terms of the applicable written agreement. We may suspend or terminate services immediately if you fail to pay undisputed invoices when due, breach these Terms, or if continuing the engagement would place us in breach of any legal or professional obligation. Upon termination, you remain liable for fees and disbursements incurred up to the date of termination.

13. Force majeure

We are not liable for delay or failure to perform obligations arising from events beyond our reasonable control, including natural disasters, industrial action, government restrictions, pandemics, or failures of telecommunications or utility services.

14. Changes to these Terms

We may update these Terms from time to time. The current version will always be published on this page with a revised “last updated” date. Continued use of this website or of our services after changes take effect constitutes acceptance of the updated Terms. Material changes affecting an existing engagement will be communicated to you in writing.

15. Governing law

These Terms and any dispute arising out of or in connection with them are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.

16. Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
